These Terms of Use (“Terms”) govern your access to and use of the Keeplyst software, the keeplyst.com website, and any related services (collectively, the “Service”).

By installing, accessing, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

In these Terms,“Keeplyst” refers to both the desktop application and the website at keeplyst.com.

“we,” “us,” and “our” refer to: FizNex LLC, the developer team and owner of Keeplyst,

“User” or “you” refers to any individual or entity using the Service.

2. License Grant

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Keeplyst application and access the website for personal or internal business purposes, strictly in accordance with these Terms.

You may not sublicense, resell, distribute, reverse-engineer, or modify any part of the Service without explicit written permission.

3. Data Ownership and Responsibility

Keeplyst stores your content and configuration files locally on your device. You retain full ownership and control over your data.

However, you are solely responsible for safeguarding and backing up your data.

We do not store, sync, or retrieve your notes or files.

We are not liable for any data loss, corruption, or failure to back up your information.

Keeplyst does not transmit your content to any server unless you explicitly configure third-party syncing or other remote services. For more details, refer to our Privacy Policy.

4. Disclaimer of Warranties

The Service is provided "as is" and "as available," with no warranties of any kind, express or implied.

We do not guarantee:

* That the Service will be error-free or uninterrupted

* That your data will be preserved

* That the Service is suitable for your specific use case or compliant with your local laws

Use the Service at your own risk.

5. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to:

* Loss of data

* Business interruption

* System failure

* Any claims arising from your use or inability to use the Service

This applies even if we were advised of the possibility of such damages.

6. Future Features and Pricing

Keeplyst currently offers a free core version. However, we make no commitment to keep all features free.

We reserve the right to introduce new features, paid upgrades, or subscription options at any time.

Access to future functionality may require payment and be subject to separate terms.

7. Acceptable Use

You agree not to:

* Use the Service for illegal, abusive, or harmful activities

* Interfere with or disrupt the functionality or security of the Service

* Misrepresent your identity or use automated scripts to access the system

* Violate any laws, third-party rights, or these Terms

* Violation may result in termination of your license or access to the Service.

8. Updates, Modifications, and Termination

We may modify or discontinue any part of the Service at any time, including these Terms.

Continued use after updates to these Terms constitutes acceptance of the changes.
